Terms and Conditions of Use

 

By logging into Maxwood Furniture’s B2B website, you confirm your agreement with and understanding of the following Terms and Conditions of Use without limitation or qualification. We reserve the right to, and may at any time, change the terms and conditions upon which our website is offered. You are bound by any such revisions and should therefore periodically visit our website to review current terms and conditions to which you are bound.

Account Access & Security 

You agree to (a) keep your login & password secure and confidential; (b) not permit others to use your account unless specifically authorized by you; (c) refrain from using the accounts of others; (d) refrain from selling, trading, or otherwise transferring your account to another party; and (e) refrain from charging anyone for access to any portion of the services or content. Further, you are responsible for anything that happens through your account until you close your account, transfer ownership or prove that your account security was compromised due to no fault of your own.

 It is your responsibility to notify Midwood Furniture immediately upon change in ownership of account such that Terms and Conditions can be re-issued and accepted. Maxwood Furniture reserves the right to close the account without notice.

 Products & Pricing

Maxwood B2B website provides easy order access to all products & brands stocked in our US warehouse. Maxwood Furniture Inc. shall determine eligibility to purchase direct at wholesale pricing. Possession of a price list or access to order website does not constitute a right to purchase.

 All wholesale prices listed are FOB Mullins, South Carolina. Prices are subject to change without notice. Please check order acknowledgements for current pricing. Stock items subject to be discontinued without notice.

 Please note that since devices, computers and displays can vary and be calibrated differently, finish colors viewed online may differ from the actual product. Samples are available so that you can see finish colors.

 Promos

 Dealers have access to discounts during key promotional periods when ordering in system directly. Please subscribe to our newsletter for more information.

 Orders

All orders are subject to acceptance by Maxwood Furniture. You will receive an instant order confirmation representing the order submitted. Please then allow 2 business days for a return e- mail acknowledgment from Maxwood Furniture. The information contained on Maxwood Furniture’s Order Acknowledgement shall be the final expression of the order. An order is not binding until Purchaser has received the acknowledgment. It is your duty to review the acknowledgment for accuracy. Any changes or corrections to acknowledgment must be submitted via email within 24 hours of receipt. Maxwood Furniture is not responsible for any errors once this time frame has elapsed.

We reserve the right to cancel an order any time prior to shipment of the order and will be held harmless of any actual or implied damages for not shipping the product.

Changes & Cancellations: Orders received during standard business hours 8:30 am – 5:00 pm Monday – Friday typically begin processing immediately. Orders received outside business hours begin processing the next business day.

To request an order change or to cancel an order, please email us within 24 hours of placing order. We will make every effort to accommodate order change requests, but please note that not all change & cancellation requests can be accommodated. Orders which have been processed and shipped cannot be changed or cancelled. Changes to orders may delay shipping.

Payment

Standard payment terms apply (net 30 days) for stocking dealers and credit approved accounts. All customers without approved credit must pre-pay orders before the order is sent to warehouse. Accepted payment forms: check, wire transfer & credit card (2.5% convenience fee applies).

Inventory & Backorders:

In stock items will be allocated upon processing order (& confirmed by Maxwood within 48 hours). If you do not want products to ship immediately, we cannot guarantee future availability of stock. Maxwood is unable to hold stock for past due accounts so stock will be unallocated if payment is overdue. Maxwood reserves the right to adjust inventory for any order that has not yet shipped. Out of stock products will list date due back in stock & can be backordered.

Shipping

Dealer pays all freight. When routing is not specified, a Maxwood Furniture preferred carrier will be used (Ref: Freight Rates PDF). All attempts will be made to secure competitive pricing, however freight rates can vary & change at any time. Delays in transit is the responsibility of the transportation company.

Once you place your order, it takes 3-5 business days to be processed. Your order will then be scheduled to ship as soon as possible. Maxwood is unable to ship orders when account is past due &/or minimum is not met.

Maxwood Furniture´s delivery obligation is satisfied, and title to and risk of loss of merchandise passes to dealer, when we make the merchandise available for pickup by a transportation company at our warehouse. We are not responsible for the product once the carrier accepts shipment. When your delivery arrives, please carefully inspect for transit damage.

Claims & Returns

Upon receipt of goods, freight damage or shortage must be clearly noted before signing the Bill of Lading. Inspection of goods must then be completed & claim submitted within 72 hours (Ref: Claim form). Dealer support will respond to claims within 72 hours & approved items replaced (method of shipment at the discretion of Maxwood Furniture). Claims submitted after 72 hours will not be honored.

Returns may not be issued to the warehouse without the issuance of a return request authorization. Allowance and/or returns may be issued only by Maxwood Dealer Support. Requests for allowances/returns must be made within 72 hours of receiving the order (Ref: RA Form). There will be no allowance made for transit damage, freight overcharge or damage while goods are in the possession of dealer or dealer´s customer.

If damage is discovered after delivery (& not noted on Bill of Lading), the purchaser should notify either their carrier or Maxwood Furniture immediately to request an inspection & instructions for filing a claim. Refusal to accept goods from carrier does not relieve the purchaser from responsibility for payment and filing necessary claims.

Restrictions on Use of Materials and Trademarks

Maxwood Furniture owns and maintains this website. Nothing contained in this website shall be construed as granting any license or right to use any image, trademark or logo contained within the website. No act of downloading or otherwise copying from this website will transfer to you any title or license to any software or material contained within this website. All Maxwood assets can only be used in conjunction with selling our brands and may not be altered in any way. We reserve all rights with respect to copyright and trademark ownership of all material contained within this website.

Limitation of Liability

While we use reasonable efforts to include up-to-date information on our website, errors and omissions sometimes occur. All information on our website is furnished AS IS, and we make no warranties or representations as to the accuracy of our website, and we make no other warranty of any kind, express or implied. Under no circumstances shall we nor any person involved in creating, producing, or delivering the websites be liable for any direct, incidental, consequential, indirect, or punitive damages that result from the use of, or the inability to use, the materials on our websites, even if our authorized representative has been advised of the possibility of such damages.

Website Security and Restrictions on Use

 You may not violate the security of our website in any way, nor may you attempt to avoid system or network limitations imposed by us. You may not gain unauthorized access to, alter, destroy or otherwise “hack” any information that relates to any other end-user. 

 You agree not to use our website in any way that is illegal or that is fraudulent, harassing or abusive as determined by us in our sole discretion, including using the website to harm, bully or harass other individuals.

 You may not use the website in any way to transmit any content that is unlawful, fraudulent, libelous, defamatory, slanderous, obscene, pornographic, harassing, threatening, abusive or harmful or that infringes upon others’ privacy, right of publicity, copyright or other intellectual property or other rights.

Indemnification 

You agree to indemnify, hold harmless, and, at our request, defend us, our licensors, and our vendors from and against all claims, liabilities, losses, expenses, damages and costs (including reasonable attorneys’ fees) that directly or indirectly arise, in whole or in part, in connection with your use of our websites, or otherwise in connection with: (1) any violation of these Terms and Conditions of Use by you; (2) any violation of any rights of a third party by you; (3) any violation of applicable law by you; or (4) information or content that you submit, post, transmit or make available through the our websites.

Computer Viruses 

We assume no responsibility, and shall not be liable for any damages to, or viruses that may infect your computer equipment, or other property as a result of your access to, use of, or browsing in this website or as a result of your downloading of any materials, text, images, video, or audio from this website.
